Often, when companies establish relationships between themselves, they introduce into the relationship scheme a person who is called a nominal owner (founder).<\/p>\n\n\n\n

A nominal owner is an individual or legal entity that is formally listed as the owner of the enterprise, but in reality does not exercise actual management of it, does not have real powers and does not receive profit from the company’s activities. The nominal owner acts as a kind of “screen” behind which the real owner of the business hides, who for various reasons wishes to remain anonymous.<\/p>\n<\/blockquote>\n\n\n\n

Unfortunately, in the post-Soviet space, the adjective “nominal” has acquired a bad reputation. At least when it comes to doing business. If, according to the documents, a company was founded by a nominal owner, it seems that the owners of this enterprise have something to hide, and the honesty of their activities should be questioned. It is impossible to categorically deny this possibility: nominees are indeed periodically needed by the owner only to conduct business transactions of dubious honesty, which are fraught with criminal prosecution. At the same time, this assessment cannot be extended to all precedents of using a nominal service without exception – the range of reasons for its use is much wider than it may initially seem. This is what we will talk about.<\/p>\n\n\n\n

The reasons for using a nominee owner may vary:<\/h2>\n\n\n\n

  1. Affiliated company<\/strong>
    A nominal owner may be needed if an entrepreneur creates a second company and wants it to be related to the first one as an affiliate. In this case, the tax service will not charge additional taxes. If such relationships are not established, the state may consider such a connection to be business interdependence and increase the tax rate.<\/li>\n\n\n\n
  2. Confidentiality of the real owner<\/strong>
    A nominal owner allows the real owner of the business to remain anonymous, since the data of the nominal owner will appear in official registers and documents. This may be relevant in countries with open registers of company owners, where businessmen want to avoid unnecessary attention from competitors, law enforcement agencies or the public.<\/li>\n\n\n\n
  3. Avoiding a ban on business activities<\/strong>
    Another possible reason is a ban on doing business. This may apply, for example, to deputies or businessmen who recently headed companies that were declared bankrupt. In both cases, a temporary ban is imposed, but the nominee service allows you to bypass it.<\/li>\n\n\n\n
  4. Tax optimization<\/strong>
    The use of nominee holders can be an element of international tax optimization schemes, when a business is formally registered in jurisdictions with a more favorable tax climate, but such schemes are under strict control of regulatory authorities and their improper use can lead to sanctions.<\/li>\n\n\n\n
  5. To comply with the requirements<\/strong>
    Nominee service may also be needed by those who, for some reason, cannot comply with all licensing requirements on their own. For example, work in a particular industry requires appropriate education and experience. If the real owner does not have it, but the nominee does, this is also a reason to seek his services.<\/li>\n\n\n\n
  6. Asset protection<\/strong>
    Owners who want to protect their assets from potential legal claims can use nominee owners. This allows the risks of the owner’s personal property to be separated from those associated with the business.<\/li>\n<\/ol>\n\n\n\n

    The role of the nominee owner<\/h3>\n\n\n\n

    The nominal owner usually acts only formally: signs documents, performs limited representative functions, opens bank accounts. At the same time, the real management and control of the company remains with the real owner or the director appointed by him. The relationship between the nominal owner and the actual owner is regulated by special agreements, which clearly state that the nominal owner does not have the right to make independent decisions regarding the company and is liable only within the framework established by such an agreement.<\/p>\n\n\n\n

    Risks and Responsibilities<\/h3>\n\n\n\n

    Despite the nominal status, the formal owner bears certain legal risks, since it is he who is responsible for the company before the law. This means that the nominal owner can be held liable for the company’s illegal actions, unless he can prove that he has no involvement in decision-making. Therefore, it is important that the person who agrees to the role of nominal owner carefully assesses the risks and always acts in accordance with the law.<\/p>\n\n\n\n

    Therefore, a nominee is a formal, \u201ctechnical\u201d owner of a company who does not have any real powers. Its purpose is a completely legal practice, provided that such relations are transparent and properly legally formalized. However, it is important to understand the legal implications of such a business model, since careless use of a nominee can have serious legal and financial consequences.<\/p>\n\n\n\n

    And a few more words about who can become a nominal owner. The most obvious answer is a relative or close friend, since the level of trust here is the highest. However, this may cause suspicion on the part of government agencies, so the best option is to seek help from a law firm.
